Terms of Service

These Terms of Service ("Terms") govern access to and use of the ShopyLocal platform. ShopyLocal is operated by Idriss Jordane Mba Takoukam, in the process of registering as a self-employed entrepreneur (preduzetnik) in the Republic of Serbia, based in Belgrade (the "Operator"). By creating an account or using the platform, you acknowledge that you have read, understood and accepted these Terms and our Privacy Policy. If you do not accept, you must immediately stop using the service.
Acceptance and capacity
Access to ShopyLocal is reserved for adult natural persons and lawfully constituted legal entities with the legal capacity to enter into a contract in their jurisdiction. When creating an account on behalf of a business, you represent and warrant that you have authority to bind it. Use of the platform by minors or persons with limited legal capacity is prohibited. You agree to provide accurate, complete and current information, and to keep it accurate.
Service description
ShopyLocal is a SaaS platform enabling merchants to create, configure and operate a hosted online store. The service includes, without limitation: product catalog and category management, a shopylocal.com subdomain (and, on eligible plans, a custom domain), order routing by email and WhatsApp, subscription billing via Paddle, AI-assisted content tools, analytics and an administrative dashboard. The Operator may add, modify or remove features at any time for continuous improvement.
Subscriptions, free trial and billing
ShopyLocal is offered as a monthly recurring subscription (Starter and Pro plans), each preceded by a 30-day free trial with no credit card required. At the end of the trial, the selected paid plan begins on the first day of the paid period, unless you cancel. Payments are processed by Paddle.com Market Limited, acting as Merchant of Record (reseller of record) and issuing invoices on behalf of the Operator. Listed prices are exclusive of local VAT where applicable; Paddle automatically adds VAT based on your billing country. Subscriptions renew automatically by tacit reconduction. You can cancel at any time by writing to [email protected]; cancellation takes effect at the end of the current billing period. Refunds are governed by the Refund Policy.
User obligations
You are solely responsible for: (a) the confidentiality of your credentials and any activity under your account; (b) the compliance of your store content with commerce, tax, customs, health and consumer-protection laws applicable in your jurisdiction and in your customers' jurisdictions; (c) the processing of your own customers' personal data, for which you are the data controller and we are a processor; (d) the quality of the products sold, delivery, after-sales service and any disputes with your customers. You must promptly notify the Operator of any unauthorized use of your account.
Strictly prohibited uses
The following are strictly prohibited on ShopyLocal: selling illegal, counterfeit, dangerous or restricted goods you are not authorized to sell, weapons, drugs, sexual content involving minors; promoting or facilitating fraud, money laundering, terrorism financing; distributing malware; infringing third-party intellectual property rights; sending unsolicited bulk communications (spam); attempting intrusion, mass scraping, denial of service or circumventing technical limits; impersonation; publishing hateful, discriminatory, defamatory content, child sexual abuse material, or content contrary to public order. The Operator may, at its discretion and without notice, remove infringing content and suspend or terminate the offending account, without prejudice to legal action and cooperation with authorities.
Intellectual property
You retain full ownership of content you publish in your store (products, photos, text, brand, logo). You grant the Operator a worldwide, non-exclusive, royalty-free license for the duration necessary to operate the service, solely to host, reproduce, display and transmit such content in order to make your store accessible to your customers. The Operator retains all rights in the ShopyLocal platform, its source code, design, trademark, templates, databases and any improvements. You agree not to copy, modify, distribute, sell, lease, sublicense the platform or any element thereof, nor to reverse engineer, decompile or disassemble it, except to the extent allowed by law.
Warranties and liability cap
The service is provided "as is" and "as available". The Operator does not warrant that the service will be uninterrupted, secure against any attack, error-free or fit for a particular purpose. To the maximum extent permitted by law, the Operator disclaims all liability for indirect, incidental, consequential or intangible damages, including loss of revenue, loss of business, loss of data, reputational harm. The Operator's total aggregate liability, on any cause, is capped at the amount actually paid by you for the subscription during the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply in cases of willful misconduct, gross negligence, or harm to persons that the law prohibits from limiting. You agree to indemnify the Operator against any third-party claim related to the content of your store or the sale of your products.
Force majeure
Neither party shall be liable for any failure to perform its obligations resulting from a force majeure event within the meaning of the applicable law, including: natural disasters, armed conflicts, acts of terrorism, pandemics, governmental decisions, large-scale network outages or failures of major cloud providers, large-scale cyber attacks. The affected party shall notify the other as soon as possible. If the situation continues for more than 30 consecutive days, either party may terminate without penalty.
Suspension and termination
You may request the deletion of your account at any time by writing to [email protected]; amounts owed for the current period remain payable. The Operator may suspend or terminate your account with immediate effect in case of manifest breach of these Terms, persistent unpaid invoices, fraud risk, regulatory order or security risk, after a formal notice unanswered for 7 days, unless urgency. Termination takes your store offline. Your data is retained and exportable for 30 days, then deleted, subject to legal retention obligations.
Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Serbia, including the Law of Obligations (Закон о облигационим односима) and the Consumer Protection Act (Закон о заштити потрошача), without prejudice to mandatory consumer-protection provisions of the consumer's country of habitual residence in the European Union or elsewhere. Any dispute relating to the formation, interpretation, performance or termination of these Terms shall, failing amicable resolution, be submitted to the exclusive jurisdiction of the competent courts of Belgrade, Serbia. EU consumers retain the right to bring proceedings before the court of their place of residence and to use the European online dispute resolution platform (https://ec.europa.eu/consumers/odr).
Changes to Terms
The Operator may update these Terms at any time to reflect changes in the service or legal requirements. Material changes will be notified by email and in-app banner at least 30 days before they take effect, unless a shorter notice is required by law. Continued use after the effective date constitutes acceptance. If you do not accept the new Terms, you may cancel before they take effect at no cost.
Language of authority
These Terms are published in multiple languages for convenience. In the event of any inconsistency between the versions, the English version shall prevail as the legally binding version.
